These Terms of Service ("Terms") govern your access to and use of BidReady ("the Service"), operated by Alchemy Labs ("we," "us," or "our"). By accessing or using BidReady, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use the Service.

1. The Service

BidReady is an AI-assisted proposal generation tool that helps contractors, freelancers, and agencies create professional proposals. The Service uses artificial intelligence to generate proposal drafts based on information you provide, which you can then review, edit, and share.

BidReady is currently in alpha. This means:

  • Features may change, break, or be removed without notice
  • The Service may experience downtime or data loss
  • We're actively developing the product based on user feedback
  • Your use during alpha helps shape what BidReady becomes

We appreciate your early participation and take your feedback seriously.

2. Account Registration

To use BidReady, you must:

  • Provide a valid email address
  • Be at least 18 years old (or the age of majority in your jurisdiction)
  • Use the Service only for lawful business purposes

During alpha, access requires an invite code. We reserve the right to approve or deny access at our discretion.

You are responsible for maintaining the security of your account. If you suspect unauthorized access, contact us immediately at support@bidready.ai.

3. Acceptable Use

You agree to use BidReady only for legitimate business purposes. You may not use the Service to:

  • Generate proposals containing false, misleading, or fraudulent information
  • Create content that is illegal, defamatory, threatening, or harassing
  • Attempt to reverse-engineer, copy, or replicate the Service or its underlying technology
  • Interfere with or disrupt the Service's infrastructure
  • Share your account credentials or invite code with unauthorized parties
  • Use automated scripts, bots, or scrapers to access the Service
  • Resell access to the Service without our written permission
  • Submit content that infringes on any third party's intellectual property rights

We reserve the right to suspend or terminate your account if you violate these terms.

4. AI-Generated Content

BidReady uses artificial intelligence to generate proposal drafts. Here's what you need to know:

Ownership

You own the proposals you create with BidReady. The AI assists in drafting — you provide the inputs, review the output, and make editorial decisions. The final proposal is yours.

By using the Service, you grant us a limited, non-exclusive license to process your input data solely for the purpose of generating your proposals and improving the Service.

Accuracy

AI-generated content is a starting point, not a finished product. You are responsible for:

  • Reviewing all generated content for accuracy before sharing with clients
  • Verifying pricing, timelines, scope, and terms in every proposal
  • Ensuring proposals comply with applicable laws and regulations in your industry
  • Making editorial decisions about what to include, modify, or remove

BidReady does not guarantee the accuracy, completeness, or suitability of AI-generated content. We generate drafts based on the information you provide — the quality of output depends on the quality of input.

No Professional Advice

Proposals generated by BidReady do not constitute legal, financial, or professional advice. If your proposals require specific legal terms, licensing disclosures, or regulatory compliance language, consult a qualified professional.

5. Your Data

What We Store

  • Your account information (email address, name)
  • Proposal content you create (project details, generated drafts, edits)
  • Usage data (feature usage, session information)
  • Branding settings you configure (logo, colors, company name)

How We Handle It

  • Your proposal content is yours. We do not sell, share, or publish it.
  • We process your inputs through AI models to generate proposals. This processing is necessary to deliver the Service.
  • We may use aggregated, anonymized usage data to improve the Service. This data cannot be used to identify you or reconstruct your proposals.

6. Payment Terms

During Alpha

BidReady is free during the alpha period. Free-tier users receive up to 3 proposals per month. Pro plan features are available to users who upgrade via the in-app billing page.

Paid Plans

  • Pro Plan: $19/month (billed monthly) — unlimited proposals and all features
  • Payments are processed through Stripe. We do not store your payment card details directly.
  • Subscriptions renew automatically unless cancelled before the next billing cycle.
  • You can cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period — no partial refunds for unused time.

Refunds

If you experience a billing error or are charged incorrectly, contact us at support@bidready.ai within 30 days. We'll review and resolve the issue promptly.

Price Changes

We may adjust pricing in the future. Existing subscribers will receive at least 30 days' notice before any price increase takes effect. Alpha and early adopter pricing commitments will be honored.

7. Intellectual Property

Our IP

The BidReady name, logo, website design, underlying technology, and AI models are the intellectual property of Alchemy Labs. These Terms do not grant you any rights to our IP beyond the limited right to use the Service as described here.

Your IP

You retain all rights to the content you input into BidReady (project descriptions, client details, pricing information) and the proposals you create using the Service.

Feedback

If you provide feedback, suggestions, or feature requests, you grant us the right to use that feedback to improve the Service without obligation or compensation. We won't attribute feedback to you publicly without your permission.

8. Service Availability

We aim to keep BidReady available and reliable, but we do not guarantee uninterrupted service. The Service may be temporarily unavailable due to:

  • Scheduled maintenance
  • Unplanned outages or technical issues
  • Third-party service disruptions (AI providers, payment processors, hosting)

During alpha, we may also take the Service offline for updates or changes without advance notice. We'll communicate planned downtime when possible.

9. Limitation of Liability

To the maximum extent permitted by law:

  • BidReady is provided "as is" and "as available" without warranties of any kind, express or implied
  • We do not warrant that the Service will be error-free, secure, or available at all times
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
  • Our total liability for any claim related to the Service is limited to the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater
  • We are not responsible for business losses, lost profits, or lost opportunities resulting from proposals generated by the Service

You acknowledge that BidReady is in alpha and accept the inherent risks of using pre-release software.

10. Indemnification

You agree to indemnify and hold harmless Alchemy Labs and its team from any claims, damages, or expenses arising from:

  • Your use of the Service
  • Proposals you create and share using BidReady
  • Your violation of these Terms
  • Your violation of any applicable law or third-party rights

11. Termination

By You

You can stop using BidReady at any time. To delete your account and data, contact us at support@bidready.ai.

By Us

We may suspend or terminate your access if:

  • You violate these Terms
  • Your use poses a security risk to the Service or other users
  • We discontinue the Service (with reasonable notice when possible)

Upon termination, your right to use the Service ends immediately. We will retain your data for 30 days after termination to allow you to request an export, after which it will be deleted.

12. Changes to These Terms

We may update these Terms as BidReady evolves. When we make material changes:

  • We'll update the "Last Updated" date at the top
  • We'll notify registered users via email for significant changes
  • Continued use of the Service after changes take effect constitutes acceptance

13. Governing Law

These Terms are governed by the laws of New Zealand. Any disputes will be resolved in the courts of New Zealand, unless otherwise required by applicable consumer protection laws in your jurisdiction.
